TERMS AND CONDITIONS OF AGREEMENT FOR USE OF WEBSITE AND ONLINE PORTAL BETWEEN USER & RENOVO

RF Renovo Management Company, LLC along with and on behalf of its subsidiary and affiliated companies (collectively “Renovo”) operates this website (the “Site”) and may make available one or more password-protected online portals, account interfaces, or related web or mobile applications through which borrowers, guarantors, and their authorized representatives may view loan information and submit information and documents to Renovo (each, a “Portal”), including the Portal currently known as RenoVault. The Site and each Portal are referred to collectively as the “Services.” This terms and conditions agreement (this “Agreement”) governs your use of the Site and any Portal.

1. ACCEPTANCE OF AGREEMENT; ELECTRONIC SIGNATURES

By accessing or using the Site, by creating an account or logging into a Portal, you agree to be bound by this Agreement and, if applicable, such other terms and conditions or similar agreements with Renovo that may be necessary for Renovo to provide you access to certain products and services. Renovo provides information and services on this Site to you, the user, conditioned on your acceptance without modification of the terms of this Agreement. Your use of the Site or any Portal constitutes your agreement to the terms of this Agreement. IF YOU DO NOT WISH TO BE BOUND BY THE TERMS OF THIS AGREEMENT, YOU ARE NOT PERMITTED TO USE OR ACCESS THIS SITE OR ANY PORTAL.

Where required or permitted by applicable law, your click, checkbox selection, electronic signature, or other electronic action indicating assent has the same legal effect as a handwritten signature, in accordance with the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN), 15 U.S.C. § 7001 et seq., and applicable state law, including the Uniform Electronic Transactions Act as enacted in the applicable jurisdiction. You represent that you are able to access, view, and retain records presented to you in the Services in the formats in which they are presented.

2. RELATIONSHIP TO LOAN DOCUMENTS; NO RELIANCE ON DISPLAYED INFORMATION

This Agreement governs your use of the Services only. It does not amend, supplement, novate, or otherwise modify any promissory note, loan agreement, mortgage, deed of trust, guaranty, security agreement, or other document evidencing or securing a loan made or serviced by Renovo (collectively, the “Loan Documents”). In the event of any conflict between this Agreement and the Loan Documents with respect to your loan obligations, the Loan Documents control.

Loan balances, accrued interest, reserve and holdback amounts, draw availability, fees, payoff figures, projected payment amounts, and other information displayed in a Portal are provided for general informational convenience only, are subject to change, may not reflect transactions that have not yet posted, and are estimates that are not binding on Renovo. Such information does not constitute a payoff statement, account statement, reinstatement quote, or commitment to fund. Official figures are provided only in a written statement issued by Renovo and identified as such. Renovo may correct errors in information displayed in a Portal at any time without liability, and you may not rely on, and Renovo is not liable for, any displayed figure that is later corrected.

3. ELIGIBILITY; BUSINESS PURPOSE USE ONLY

The Services are made available solely in connection with loans made or applied for primarily for business, commercial, or investment purposes, and not for personal, family, or household purposes. By accessing or using the Services, you represent and warrant to Renovo that:

  • you are accessing the Services on behalf of a business entity, or in your individual capacity as a principal, member, manager, officer, guarantor, or authorized representative of a business entity, in each case in connection with such a loan;
  • any loan to which your use of the Services relates is for business, commercial, or investment purposes and is not a consumer credit transaction;
  • any real property collateral is not, and is not intended to be, occupied by you or any of your immediate family members as a principal residence;
  • you have full authority to accept this Agreement on behalf of, and to bind, each entity on whose behalf you access the Services; and
  • all information you submit through the Services is true, accurate, current, and complete, and you will promptly update it as necessary.

You acknowledge that Renovo relies on these representations in providing you access to the Services, that the Services are not offered to consumers, and that you will not use the Services for any personal, family, or household purpose. Renovo may suspend or terminate access to the Services if it determines, in its sole discretion, that any of these representations is or has become inaccurate.

4. ACCOUNT REGISTRATION, CREDENTIALS, AND AUTHORIZED USERS

Access to a Portal is provided to you personally in connection with your loan relationship with Renovo. You are responsible for: (a) maintaining the confidentiality of your username, password, multi-factor authentication credentials, and any device used to access the Portal; (b) all activity that occurs under your account or credentials, whether or not authorized by you; and (c) ensuring that any device, browser, application, or network you use to access the Portal is secure and free of malware or unauthorized monitoring software.

You will not share your credentials with, or permit access to your account by, any other person. Where a Portal permits you to designate additional authorized users, you are responsible for the acts and omissions of each authorized user as if they were your own, for ensuring each authorized user complies with this Agreement, and for promptly removing any authorized user whose access should be revoked, including any person who ceases to be affiliated with you. Renovo may, but is not obligated to, require multi-factor authentication, re-verification, or additional identity confirmation at any time as a condition of access.

5. USER RESPONSIBILITY FOR COMPROMISED ACCESS; ASSUMPTION OF RISK

You acknowledge that a Portal provides access to sensitive information related to your loan, including without limitation loan status, disbursement and draw information, payment history, account and payment information, and related documentation (the “Data”), and that safeguarding your credentials and devices is your responsibility. Providing you with access to Data is the intended function of the Portal and is not a breach of any obligation owed to you. Without limiting Section 4, you agree that:

(a) You are responsible for any loss, disclosure, alteration, or misuse of Data that results from unauthorized access to your account, device, or login credentials, including where such unauthorized access arises from a compromised, lost, stolen, or shared device; a compromised, shared, or reused login or password; malware, phishing, or social engineering directed at you or your personnel; the acts or omissions of any authorized user; or your failure to log out of or otherwise secure a device or session.

(b) Renovo is entitled to rely on, and to treat as authorized, any instruction, request, submission, or access to a Portal made using your credentials, and Renovo has no obligation to independently verify that a person accessing a Portal with your credentials is in fact you or an authorized user, except to the extent Renovo has received notice under Section 6 and has had a reasonable opportunity to act on it.

(c) You assume the risk arising from your access to and use of the Services, and from any third party’s access to a Portal or to Data using your credentials or device, except to the extent such access results from Renovo’s own gross negligence, willful misconduct, or failure to comply with applicable law.

6. DUTY TO NOTIFY

You agree to notify Renovo promptly, using the Security Contact identified in Section 25, if you become aware of (a) any loss, theft, or compromise of your credentials or of a device used to access a Portal, (b) any unauthorized access to or use of your account or a Portal, or (c) any error or discrepancy in Data displayed in a Portal. Notice does not relieve you of responsibility for activity that occurred before Renovo received the notice and had a reasonable opportunity to act on it.

7. SUBMISSION OF BANKING, PAYMENT, AND OTHER SENSITIVE INFORMATION

A Portal may permit you to submit bank account and routing numbers, taxpayer identification numbers, financial statements, organizational documents, insurance information, and other confidential or sensitive information (collectively, “Sensitive Information”). With respect to any Sensitive Information you submit, you represent, warrant, and agree that:

  • you are the owner of, or are expressly authorized by the owner to provide, each account and item of information submitted, and your submission does not violate any law or any agreement with a third party;
  • where the Sensitive Information relates to any individual other than you, you have obtained all consents and provided all notices required by applicable law for its collection, disclosure to Renovo, and use as contemplated by this Agreement and the Privacy Policy;
  • the information is accurate and complete, and you are solely responsible for the accuracy of account and routing numbers and other payment instructions you enter. Renovo is not liable for payments misdirected, delayed, rejected, or returned as a result of information you supplied; and
  • you authorize Renovo and its service providers to use the Sensitive Information to verify your identity and account ownership, to process transactions you have separately authorized, to service your loan, and to comply with applicable law.

Any authorization for ACH debits or credits, recurring payments, or card transactions is governed by the separate authorization you provide and by the Loan Documents. Nothing in this Agreement constitutes such an authorization, and in the event of any conflict, the separate authorization and the Loan Documents control.

You must submit Sensitive Information only through the designated fields or upload functions within the applicable Portal. Do not transmit Sensitive Information to Renovo by unencrypted email, text message, instant message, voicemail, or other channel outside the Portal. Renovo is not responsible for the security of, and disclaims all liability arising from, Sensitive Information you transmit outside the Portal.

Certain functions, including payment card processing, bank account verification, identity verification, and electronic signature, may be performed by third-party service providers. Information you submit in connection with those functions may be transmitted to, processed by, and stored by those providers under their own terms and privacy policies. Renovo does not control, and is not responsible for, the acts or omissions of such providers except to the extent required by applicable law. Payment card numbers are submitted directly to Renovo’s payment processor and are not received or stored by Renovo.

8. INFORMATION SECURITY; NO GUARANTEE

Renovo maintains administrative, technical, and physical safeguards designed to protect information submitted through the Services against unauthorized access, use, alteration, and disclosure, consistent with applicable law. You acknowledge, however, that no method of transmission over the internet and no method of electronic storage is completely secure, and that Renovo does not warrant or guarantee that the Services or any information transmitted through or stored in connection with them will be free from unauthorized access, interception, alteration, or loss. You transmit information to Renovo over networks and devices Renovo does not control at your own risk.

Nothing in this Agreement limits, waives, or disclaims any obligation of Renovo under applicable law that may not be limited, waived, or disclaimed by agreement, including any obligation to safeguard information or to provide notice of a security incident.

9. NO PROFESSIONAL ADVICE; NO WARRANTY OF INFORMATION

The information displayed on this Site or in a Portal is not a substitute for actual legal or professional advice from a licensed competent individual in their field of expertise. The information and services offered on this Site is provided with the understanding that Renovo is not engaged in rendering legal or other professional services or advice. Your use of the Site and any Portal is subject to the additional disclaimers and caveats that may appear throughout the Site or Portal.

10. UNLAWFUL OR PROHIBITED USES

As a condition of your use of this Site and any Portal, you warrant to Renovo that you will not use this Site or Portal for any purpose that is unlawful under the laws of the United States of America or any federal, state or local jurisdiction within that country, or which is otherwise prohibited by this Agreement. If you violate any of the terms of this Agreement, you are immediately prohibited from further use of the Site and any Portal.

Except as set forth herein, you are not authorized to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, use on any other website, transfer or sell any information, software, lists of users, databases or other lists, products or services obtained from this Site or any Portal. If and when requested by Renovo, you agree to provide true, accurate and complete information and to refrain from impersonating or falsely representing your affiliation with any person or entity. Unauthorized individuals attempting to access prohibited areas of this Site or any Portal, or to access the account or Data of any other user, will be held accountable and may be subject to prosecution as determined by appropriate law enforcement agencies.

You agree to not use any robot, bot, spider, other automatic device, or manual process to monitor or copy content displayed on the Site or any Portal or its underlying code without Renovo’s prior express consent. You agree to not use any device, software or routine to interfere or attempt to interfere with the proper working of the Site, any Portal, or any transaction being conducted on our Site or Portal.

You agree that Renovo may terminate your password, user account, or other use of the Site or any Portal for any reason, at Renovo’s sole discretion, as further described in Section 20. All notices to Renovo must be in writing and shall be made either via e-mail or conventional mail unless specified otherwise in this Agreement. Additionally, Renovo may post notices or links to notices on the Site or in a Portal to inform of changes to the applicable Terms and Conditions, the Site, or other important matters.

Additionally you shall not directly or indirectly: (i) decipher, decompile, disassemble, reverse engineer, or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Site or any Portal, except to the extent applicable laws specifically prohibit such restriction; (ii) modify, translate, or otherwise create derivative works of any part of the Site or any Portal; (iii) copy, rent, lease, distribute, or otherwise transfer any of the rights that you receive hereunder; (iv) circumvent, disable, or attempt to defeat any authentication, multi-factor authentication, access control, rate limiting, or other security feature of the Services; or (v) probe, scan, or test the vulnerability of the Services or any Renovo network or system. You shall abide by all applicable local, state, national, and international laws and regulations related to your use of the Site and any Portal.

11. CODE OF CONDUCT

Prohibited use of the Site and any Portal includes, but is not necessarily limited to, the following actions:

  • Upload, email, or otherwise transmit any images or other content that are unlawful, obscene, harmful, hateful, invade the privacy of any third party, contain nudity or pornography, or are otherwise objectionable.
  • Dissemination of materials that impact or invade the privacy of others, such as photographs, video clips, sound recordings, personally identifiable information, or other materials that reveal personal, private, or sensitive information about another person, without that person’s consent.
  • Submission of material that is intentionally false, defamatory, unlawfully threatening, or unlawfully harassing.
  • Provision of content that is false, misleading, or inaccurate.
  • Infringement of any third party’s copyright, patent, trademark, trade secret, or other proprietary rights or rights of publicity or privacy.
  • Transmission of materials that contain any viruses or other computer-programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or personal information.
  • Use of the Site to artificially generate traffic or page links.
  • Use of the Site in a manner that breaches any legal duty owed to a third party, such as a contractual duty or a duty of confidence.
  • Use of the Site in a manner that could disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site, such as through sending “spam” email or analogous activity.
  • Seeking to obtain access to any materials or information through “hacking,” “data harvesting,” or through other means we have not intentionally made available to you through the Site.
  • Use of the Site to violate any law, statute, or regulation (including, without limitation, those governing securities regulation, consumer protection, unfair competition, anti-discrimination, or false advertising) or for any other unlawful purpose.
  • Accessing or attempting to access the account, credentials, or Data of any other user, or using a Portal to view information relating to any loan for which you are not a borrower, guarantor, or authorized representative.
  • Submitting the bank account, payment card, taxpayer identification, or other sensitive information of any person or entity without that person’s or entity’s authorization.
  • Submitting any document, image, or file that has been altered, forged, or fabricated, or that misrepresents the identity, financial condition, or authority of any person or entity.
  • Uploading any file containing malware, ransomware, or other malicious code, or any file designed to exploit a vulnerability in the Services.
  • Using the Services to test, benchmark, or evaluate Renovo’s systems, or to develop a competing product or service.

Renovo will enforce the code of conduct described above when aware of violations and deems enforcement to be necessary. However, Renovo does not necessarily monitor the Site or any Portal for violations and are not liable for any harm or damages caused to users by another user’s violation of the code of conduct. If you believe the code of conduct or other terms of this Agreement are currently or were in the past violated, please contact Renovo using the General Contact identified in Section 25.

12. PRIVACY

Renovo’s Privacy Policy is part of this Agreement and is incorporated by reference into this Agreement. Please see our privacy policy available at https://renovofinancial.com/privacy-policy/ for details regarding privacy of information displayed on or contained within this Site or any Portal, or for information submitted to this Site or any Portal, whether in connection with an application for a loan or for any other purpose. In the event of any conflict between the terms of the Privacy Policy and these Terms and Conditions with respect to the collection, use, or disclosure of personal information, the terms of the Privacy Policy shall control. In all other respects, these Terms and Conditions control.

13. PROPRIETARY RIGHTS

Subject to your compliance with this Agreement, Renovo grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely in connection with your loan relationship with Renovo and for no other purpose. Renovo reserves all rights not expressly granted. All materials on this Site and in any Portal, as well its aesthetic, appearance, structure, and/or layout are owned, copyrighted, and/or licensed by Renovo. Any unauthorized reproduction, distribution, or transmission of the materials on this Site or in any Portal without the prior express written permission of Renovo is strictly prohibited.

All content on this site, including the “look and feel” (e.g., images, text, graphics, logos, or buttons), and any code or software making up the site (including html-based computer programs), are protected under both United States and foreign copyright, patent, trademark, and other laws. Content and information displayed on the Site belongs to Renovo or to others as indicated. The information and materials contained in the Site may not be copied, displayed, distributed, downloaded, licensed, modified, published, reposted, reproduced, reused, sold, supplemented, transmitted, used to create a derivative work or otherwise used for public or commercial purposes without the express written permission of Renovo. Any permission or license granted by Renovo to use the Site is personal to you. You agree not to reproduce, duplicate, copy, or sell any information or technology obtained from the Site. This Section does not restrict your use of your own loan documents and account records obtained through a Portal for your internal business purposes.

If you provide Renovo with suggestions, ideas, or other feedback regarding the Services, Renovo may use and exploit that feedback without restriction or compensation to you.

14. LINKS TO THIRD PARTY WEBSITES AND THIRD-PARTY SERVICES

This Site or a Portal may contain links to other websites operated by unaffiliated third parties. Any hyperlinks provided by Renovo on the Site to third party web sites does not imply endorsement of the material on such websites or any agency of or with its operator. Any access to and use of such websites is solely at your own risk. Renovo is in no way responsible for any information, content, product or service provided by such linked third parties. As always, you should never give private information to any website, individual, or entity that you are unfamiliar with. Renovo is not responsible for any loss or damage related to information that you provide to third parties.

Wire instructions are a frequent target of fraud; you must independently verify any wire or payment instruction by telephone using a number you have confirmed independently, and Renovo is not liable for funds transferred in response to instructions not issued by Renovo.

15. ELECTRONIC COMMUNICATIONS AND RECORDS

You consent to receive notices, disclosures, statements, agreements, and other communications from Renovo relating to the Services and, to the extent permitted by the Loan Documents and applicable law, to your loan, in electronic form, by posting to a Portal or by email to the address associated with your account. Electronic communications are deemed received when sent or posted. You are responsible for maintaining a current and functioning email address in your account and for regularly reviewing communications posted to a Portal.

16. CONTACT METHODS AND OPT-OUTS

By submitting your contact information through this Site or a Portal or otherwise providing it to Renovo you are making an inquiry regarding products and services offered by Renovo and you are consenting to be contacted by Renovo by telephone (on a recorded line), automated calling, pre-recorded calling, text message, email, fax, telephone or any means, even if you have opted in to the National Do Not Call List, any state equivalent Do Not Call List or the internal Do Not Call List of any company. In the event you no longer want to receive communications from Renovo, you can opt out of various contact methods by calling or emailing the General Contact identified in Section 25. The General Contact is also published on the Site and in each Portal.

Renovo will attempt to address your request immediately, but it may take up to 10 days for Renovo to process an opt-out request. Please note that Renovo may still need to contact you for legitimate business reasons such as servicing of your loan, security or fraud alerts, notices regarding your Portal account, or other non-marketing purposes.

With respect to text messages/SMS, please note the following:

  • Message frequency varies per user
  • Message and data rates may apply
  • Text HELP for help
  • Text STOP to unsubscribe
  • Carriers are not liable for delayed or undelivered messages

17. INDEMNIFICATION

You shall defend, indemnify, and hold harmless Renovo and each of its and its affiliates’ employees, contractors, directors, officers, agents, suppliers, and representatives from all liabilities, claims, and expenses, including reasonable attorneys’ fees and other legal costs, that arise from or relate to your use or misuse of, or access to, the Site, any Portal, and its content, or otherwise from your submissions, violation of these Terms and Conditions, or infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity; any unauthorized access to a Portal or to Data resulting from a compromise of your device or credentials or from the acts or omissions of any authorized user; your breach of Section 3, Section 4, Section 5, or Section 7; and any claim by a third party arising from Sensitive Information you submitted without that party’s authorization. Renovo reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with Renovo in asserting any available defenses. You may not settle any matter subject to indemnification in a manner that imposes any obligation or admission on Renovo without Renovo’s prior written consent.

18. DISCLAIMER OF WARRANTIES

THE PRODUCTS, INFORMATION, CONTENT AND SERVICES PROVIDED ON OR THROUGH THE SITE OR ANY PORTAL ARE PROVIDED “AS IS” AND “AS AVAILABLE” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. RENOVO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS MAKING THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

19. LIMITATION OF LIABILITY

Any and all access to and use of the Site or any Portal or its contents is at your own risk. Use of the Site or any Portal constitutes acknowledgment and agreement that Renovo specifically disclaims any liability (whether based in contract, tort, negligence, strict liability or otherwise) for any direct, indirect, incidental, common law, statutory, regulatory, consequential, compensatory, punitive, or special damages arising out of or in any way connected with your access to or use of the Site or any Portal (even if Renovo was advised of the possibility of such damages) including, but not limited to, any liability associated with any viruses which may infect your computer equipment, any loss of data, any lost profits or business interruption, and any unauthorized access to your account or Data.

The foregoing limitations do not apply to liability arising from Renovo’s gross negligence or willful misconduct, or to any liability that may not be limited or excluded under applicable law. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

The limitations in this Section apply to your use of the Services and do not limit Renovo’s obligations, or your rights and remedies, under the Loan Documents.

20. SUSPENSION AND TERMINATION OF ACCESS

Renovo may suspend, restrict, or terminate your access to the Services, or to any feature of the Services, at any time and for any reason, with or without notice, including where Renovo reasonably believes that continued access presents a security, fraud, legal, or operational risk, or that this Agreement has been breached. Renovo is not liable to you or any third party for any suspension, restriction, or termination of access. Suspension or termination of access to the Services does not affect, suspend, excuse, or modify any obligation under the Loan Documents, including your obligation to make payments when due, and does not relieve you of any obligation to deliver information or documents to Renovo by other means. Sections that by their nature should survive termination, including Sections 5, 7, 17, 18, 19, 21, and 22, survive.

21. DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION AND JURY TRIAL WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE IN COURT, TO HAVE A JURY HEAR YOUR CLAIMS, AND TO PARTICIPATE IN A CLASS ACTION.

(a) Scope. This Section applies to any dispute, claim, or controversy between you and Renovo arising out of or relating to the Services, this Agreement, or the submission, security, use, or disclosure of information through the Services (a “Dispute”). This Section does not apply to any dispute arising under or relating to the Loan Documents, which is governed exclusively by the dispute resolution, venue, and waiver provisions of the Loan Documents. In the event of any conflict between this Section and the Loan Documents, the Loan Documents control.

(b) Arbitration. Any Dispute shall be resolved by final and binding arbitration before a single arbitrator, administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Chicago, Illinois. The Federal Arbitration Act governs this Section. Judgment on the award may be entered in any court of competent jurisdiction. The parties shall keep the arbitration and the award confidential, except as necessary to enforce the award or as required by law.

(c) Exceptions. Either party may bring an individual claim in small claims court, may bring a claim for infringement or misappropriation of intellectual property, and may seek provisional injunctive relief in a court of competent jurisdiction pending appointment of the arbitrator, after which the arbitrator has exclusive authority to grant relief.

(d) Class action waiver. ANY DISPUTE SHALL BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS REPRESENTATIVE, OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one person or preside over any class or representative proceeding. If this subsection (d) is held unenforceable as to any claim, that claim shall be severed and proceed in court under Section 22, and the remainder of this Section 21 shall remain in effect.

(e) Jury trial waiver. TO THE EXTENT ANY DISPUTE IS FOUND NOT SUBJECT TO ARBITRATION, EACH OF YOU AND RENOVO KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY. EACH PARTY ACKNOWLEDGES THAT THIS WAIVER IS A MATERIAL INDUCEMENT TO ENTER INTO THIS AGREEMENT.

22. MISCELLANEOUS (GOVERNING LAW; VENUE; GENERAL PROVISIONS)

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois and the United States, without giving effect to any principles of conflicts of law. Failure by Renovo to insist upon strict enforcement of any provision of this Agreement shall not be construed as a waiver of any provision or right. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of this Site or any Portal or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred. Any legal action or proceeding between Renovo and you related to this Agreement shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and each party irrevocably consents to the personal jurisdiction of those courts and waives any objection based on venue or forum non conveniens. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck or limited to the minimum extent necessary and the remaining provisions shall be enforced. Headings are for reference purposes only and in no way define, limit, construe, or describe the scope or extent of such section. Renovo’s failure to act with respect to a breach by you or others does not waive our rights with respect to subsequent breaches.

This Agreement, together with the Privacy Policy and any supplemental terms presented in a Portal, is the entire agreement between you and Renovo regarding the Services and supersedes all prior understandings regarding the Services, but does not supersede or modify the Loan Documents. There are no third-party beneficiaries of this Agreement. Renovo is not liable for any failure or delay in providing the Services resulting from causes beyond its reasonable control, including acts of God, labor disputes, utility or telecommunications failures, denial-of-service or other attacks, and acts of government.

23. NO MINOR USE

This website and any Portal is applicable to and should only be used by persons 18 years of age or older. Access and use of this website or any Portal by persons under the age of 18 is prohibited.

24. ASSIGNMENT

You may not assign any part of your interest in this Agreement or transfer any associated user account to another person. Renovo may assign, transfer, or delegate any of its rights and obligations hereunder without consent, including to any affiliate, successor, servicer, subservicer, or assignee of your loan.

  • you are accessing the Services on behalf of a business entity, or in your individual capacity as a principal, member, manager, officer, guarantor, or authorized representative of a business entity, in each case in connection with such a loan;
  • any loan to which your use of the Services relates is for business, commercial, or investment purposes and is not a consumer credit transaction;
  • any real property collateral is not, and is not intended to be, occupied by you or any of your immediate family members as a principal residence;

  • you are the owner of, or are expressly authorized by the owner to provide, each account and item of information submitted, and your submission does not violate any law or any agreement with a third party;
  • where the Sensitive Information relates to any individual other than you, you have obtained all consents and provided all notices required by applicable law for its collection, disclosure to Renovo, and use as contemplated by this Agreement and the Privacy Policy;

  • Accessing or attempting to access the account, credentials, or Data of any other user, or using a Portal to view information relating to any loan for which you are not a borrower, guarantor, or authorized representative.

  1. NO MINOR USE

This website and any Portal is applicable to and should only be used by persons 18 years of age or older. Access and use of this website or any Portal by persons under the age of 18 is prohibited.

  1. ASSIGNMENT

You may not assign any part of your interest in this Agreement or transfer any associated user account to another person. Renovo may assign, transfer, or delegate any of its rights and obligations hereunder without consent, including to any affiliate, successor, servicer, subservicer, or assignee of your loan.
